Welcome to Jasamu Technology. These Terms and Conditions ("Terms," "Agreement") govern your access to and use of the website jasamu.info (the "Site") and the purchase of enterprise digital ecosystem optimization solutions and services (collectively, the "Services") provided by Jasamu Technology ("Jasamu," "we," "our," or "us").

By accessing or using our Site and Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Site or Services.

1. Definitions

For purposes of these Terms:

• "Client" or "Customer" or "you" refers to the individual or entity purchasing or using our Services.
• "Products" refers to the enterprise solutions, software systems, and technology platforms we offer.
• "Services" refers to implementation, consulting, technical support, and maintenance services we provide.
• "Agreement" refers to these Terms together with any applicable order forms, statements of work, or service level agreements.
• "Intellectual Property" refers to patents, trademarks, copyrights, trade secrets, and other proprietary rights.

2. Acceptance of Terms

By accessing our Site, placing an order, or using our Services, you represent and warrant that:

• You are at least 18 years of age and have the legal capacity to enter into binding contracts
• You have the authority to bind the organization you represent (if applicable)
• All information you provide is accurate, current, and complete
• You will comply with all applicable laws and regulations
• You have read, understood, and agree to be bound by these Terms

3. Account Registration

3.1 Account Creation

To access certain features and Services, you may be required to create an account. You agree to:

• Provide accurate and complete registration information
• Maintain and promptly update your account information
• Keep your login credentials confidential and secure
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities under your account

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from your failure to protect your account information. You agree not to share your account credentials with third parties or allow others to access your account.

4. Products and Services

4.1 Product Descriptions

We strive to provide accurate descriptions and specifications for our Products and Services. However, we do not warrant that product descriptions, specifications, pricing, or other content on our Site is accurate, complete, reliable, current, or error-free. We reserve the right to correct errors, inaccuracies, or omissions and to change or update information at any time without prior notice.

4.2 Availability

All Products and Services are subject to availability. We reserve the right to discontinue any Product or Service at any time without liability. In the event a Product is listed at an incorrect price or with incorrect information due to typographical error or system malfunction, we reserve the right to refuse or cancel orders placed for that Product.

4.3 Customization

Many of our Services include customization and implementation based on your specific requirements. Scope, deliverables, timelines, and pricing for customized solutions will be documented in separate statements of work or service agreements.

5. Orders and Purchasing

5.1 Order Process

When you place an order through our Site, you are making an offer to purchase the selected Products or Services. All orders are subject to acceptance by us. We reserve the right to refuse or cancel any order for any reason, including:

• Product or Service unavailability
• Errors in pricing or product information
• Suspected fraudulent or unauthorized transactions
• Failure to meet credit or payment verification requirements
• Technical or operational limitations

5.2 Order Confirmation

Upon receiving your order, we will send an acknowledgment email confirming receipt. This acknowledgment does not constitute acceptance of your order. Order acceptance occurs when we ship the Product, commence Services, or send you a written order confirmation.

5.3 Pricing

All prices are stated in British Pounds (GBP) and are exclusive of applicable taxes, duties, and shipping charges unless otherwise specified. We reserve the right to change prices at any time. Price changes will not affect orders already confirmed.

6. Payment Terms

6.1 Payment Methods

We accept payment via credit cards, debit cards, bank transfers, and other methods as specified during checkout. By providing payment information, you represent and warrant that you are authorized to use the payment method.

6.2 Payment Processing

Payment is due upon order placement unless alternative arrangements are agreed in writing. For customized Services, payment terms will be specified in the applicable service agreement. We may use third-party payment processors who are responsible for handling your payment information in accordance with applicable payment card industry standards.

6.3 Taxes

You are responsible for all applicable taxes, duties, customs fees, and other governmental charges. If we are required to collect taxes, they will be added to your invoice. You agree to provide any tax identification information we reasonably request.

6.4 Late Payment

If payment is not received when due, we reserve the right to:

• Charge interest at the rate of 1.5% per month (or the maximum rate permitted by law)
• Suspend or terminate Services
• Engage collection agencies or pursue legal remedies
• Recover all costs of collection, including reasonable attorney fees

7. Delivery and Implementation

7.1 Delivery

Delivery timelines are estimates only and are not guaranteed. We are not liable for delays in delivery caused by circumstances beyond our reasonable control. Title and risk of loss pass to you upon delivery.

7.2 Implementation Services

For Services requiring implementation, project timelines, milestones, and responsibilities will be documented in a statement of work. Timely completion depends on your cooperation, provision of necessary access and information, and timely decision-making.

7.3 Acceptance Testing

You will have a specified period to test and accept deliverables. If you do not notify us of defects within the acceptance period, deliverables will be deemed accepted. Acceptance will not be unreasonably withheld or delayed.

8. Intellectual Property Rights

8.1 Our Intellectual Property

All content on our Site, including text, graphics, logos, images, software, and other materials (collectively, "Content"), is owned by or licensed to Jasamu and is protected by copyright, trademark, patent, and other intellectual property laws. You may not:

• Copy, modify, reproduce, or distribute our Content without permission
• Reverse engineer, decompile, or disassemble our software or systems
• Remove or alter copyright notices or proprietary marks
• Use our trademarks, service marks, or branding without authorization
• Create derivative works based on our Content

8.2 License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Products and Services for your internal business purposes. This license does not include any rights to:

• Sublicense, sell, rent, lease, or distribute our Products or Services
• Use our systems or software for service bureau or time-sharing purposes
• Allow third-party access except as expressly permitted
• Use our Products or Services for competitive purposes

8.3 Customer Data

You retain all rights to data, information, and content you provide or upload in connection with using our Services ("Customer Data"). You grant us a limited license to use Customer Data solely to provide Services to you. We will handle Customer Data in accordance with our Privacy Policy.

9. Warranties and Disclaimers

9.1 Limited Warranty

We warrant that our Products and Services will substantially conform to their published specifications for a period of 90 days from delivery or implementation (the "Warranty Period"). If you report a defect during the Warranty Period, we will, at our option, either repair or replace the defective Product or re-perform the defective Services.

9.2 Warranty Exclusions

The limited warranty does not cover defects or failures caused by:

• Misuse, abuse, or negligence
• Unauthorized modifications or alterations
• Use in combination with incompatible products or services
• Failure to follow documentation or instructions
• Acts of God, accidents, or external causes

9.3 DISCLAIMER

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, OUR PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• Our Products or Services will meet your requirements or expectations
• Our Services will be uninterrupted, timely, secure, or error-free
• Results obtained from using our Products or Services will be accurate or reliable
• All defects or errors will be corrected

10. Limitation of Liability

10.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL JASAMU, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR PRODUCTS OR SERVICES, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.2 Cap on Liability

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR PRODUCTS OR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

10.3 Exceptions

The limitations in this section do not apply to:

• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Violations of intellectual property rights
• Other liabilities that cannot be excluded or limited by law

11. Indemnification

You agree to indemnify, defend, and hold harmless Jasamu, its affiliates, and their respective directors, officers, employees, agents, and contractors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney fees) arising out of or related to:

• Your violation of these Terms
• Your use or misuse of our Products or Services
• Your violation of any third-party rights
• Your violation of applicable laws or regulations
• Any claims that Customer Data infringes third-party rights

12. Confidentiality

12.1 Confidential Information

Each party may have access to confidential information of the other party, including technical data, business strategies, financial information, and customer data. Both parties agree to:

• Maintain confidentiality of such information
• Use confidential information only for purposes of this Agreement
• Not disclose confidential information to third parties without prior written consent
• Protect confidential information using reasonable security measures

12.2 Exceptions

Confidentiality obligations do not apply to information that:

• Is or becomes publicly available through no fault of the receiving party
• Was rightfully known prior to disclosure
• Is independently developed without use of confidential information
• Is lawfully obtained from a third party without confidentiality restrictions
• Must be disclosed pursuant to legal requirement or court order

13. Term and Termination

13.1 Term

These Terms remain in effect until terminated by either party. Service-specific terms (such as subscription periods) are specified in applicable service agreements.

13.2 Termination for Convenience

Either party may terminate these Terms or specific Services upon written notice as specified in the applicable service agreement. Termination does not relieve you of payment obligations for Services performed prior to termination.

13.3 Termination for Cause

We may immediately terminate or suspend your access if you:

• Breach these Terms
• Fail to make timely payments
• Engage in fraudulent or illegal activities
• Violate intellectual property rights
• Use Services in a manner that harms our systems or other users

13.4 Effect of Termination

Upon termination:

• All licenses granted to you terminate immediately
• You must cease using our Products and Services
• You must pay all outstanding amounts due
• We may delete or return Customer Data as specified in our data retention policy
• Provisions intended to survive termination remain in effect

14. Dispute Resolution

14.1 Informal Resolution

Before initiating formal proceedings, parties agree to attempt to resolve disputes informally through good-faith negotiations for at least 30 days.

14.2 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the London Court of International Arbitration (LCIA). The arbitration shall be conducted in London, United Kingdom, in the English language. The arbitrator's decision shall be final and binding.

14.3 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED INDIVIDUALLY AND NOT AS PART OF A CLASS ACTION OR REPRESENTATIVE PROCEEDING.

14.4 Exceptions

Either party may seek injunctive or equitable relief in court to protect intellectual property rights or confidential information.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Subject to the arbitration provisions above, the courts of England and Wales shall have exclusive jurisdiction over any disputes.

16. Compliance with Laws

You agree to comply with all applicable laws and regulations in connection with your use of our Products and Services, including:

• Export control and sanctions regulations
• Data protection and privacy laws (GDPR, Data Protection Act 2018)
• Anti-bribery and anti-corruption laws
• Industry-specific regulations applicable to your business

17. Force Majeure

Neither party shall be liable for failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, pandemic, epidemic, or internet or telecommunications failures. The affected party will promptly notify the other party and use reasonable efforts to minimize the impact.

18. Independent Contractors

The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, franchise, sales representative, or employment relationship. Neither party has authority to bind the other or incur obligations on the other's behalf.

19. Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms to any affiliate or successor in interest without your consent. Any attempted assignment in violation of this section is void.

20. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

21. Waiver

No waiver of any term or condition shall be deemed a continuing waiver or waiver of any other term or condition. Our failure to assert any right or provision under these Terms does not constitute a waiver of that right or provision.

22. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, and any applicable service agreements, constitute the entire agreement between you and Jasamu regarding the subject matter herein and supersede all prior or contemporaneous communications, agreements, and understandings, whether written or oral.

23. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting updated Terms on our Site with a new effective date
• Sending email notification to registered users
• Displaying prominent notices on our Site

Your continued use of our Site or Services after changes become effective constitutes acceptance of the modified Terms. If you do not agree to modified Terms, you must discontinue use of our Products and Services.
